Cary K. Hyden is a partner at Latham & Watkins and previously served as Chair of the Orange County Corporate Department for almost 10 years. Mr. Hyden’s practice focuses on mergers and acquisitions, capital markets, and general corporate and securities matters (public and private). He has substantial experience representing companies in hostile takeover matters and in situations involving activist stockholders.

Mr. Hyden represents clients in a broad range of industry segments including (i) pharmaceutical, biotech and healthcare companies, (ii) consumer, retail, apparel and action sports companies, (iii) technology companies and (iv) real estate and mortgage banking companies. He serves as primary outside counsel to New York Stock Exchange, NASDAQ and various privately held companies, and frequently counsels clients in strategic transactions, including mergers and acquisitions, public offerings, going private transactions and spin-offs.

 

Mr. Hyden has worked on more than 170 merger and acquisition transactions including public, negotiated mergers and tender offers, hostile or unsolicited transactions, private equity transactions, going private transactions, spin-offs and numerous privately negotiated strategic acquisitions and divestitures.

Mr. Hyden also has worked on more than 75 capital markets transactions and he regularly handles public and private offerings of both equity and debt securities. Mr. Hyden has worked on an extensive list of initial public offerings (IPOs), including recent IPOs for many companies with Southern California ties, such as Volcom, Tilly's and William Lyon Homes.
